Basic Contract Principles Limit The Enforceability Of Noncompete Agreements

Judge Allen van Gestel recently ruled against the plaintiff in Zabota Community Center, Inc. v. Frolova, et al., a noncompete case in which the plaintiff was seeking a preliminary injunction to enforce a noncompete agreement. The plaintiff, a company in the business of providing senior daycare services to the Russian community, informed its employee, Frolova, that she must sign a noncompete agreement or be terminated the next day.

Employers May Face Treble Damages For Filing Frivolous Noncompete Suits

Judge Ralph D. Gants of the superior court recently ruled that a company was subject to treble (triple) damages under 93A for filing a noncompete case against its former employee when that former employee was in the process of establishing a competing business and negotiating with a customer of the employer.

Non-Competition And Non-Solicitation Agreements Can’t Block Personal Relationships

In the case of Quaboag Transfer, Inc. v. Halpin, et al., Judge Agnes of the Worcester Superior Court ruled that a non-competition agreement and a non-solicitation agreement signed by two former employees of Quaboag Transfer, Inc. could not prevent them from maintaining friendships with employees of the company.

Ulterior Motives In Noncompete And Trade Secret Litigation

Massachusetts Superior Court Judge Thomas E. Connolly recently denied a medical product manufacturer’s motion to compel discovery from a competing start-up in a case alleging breach of a noncompete and misuse of trade secrets by the manufacturer’s former employee who now works for the competitor.
